Terms of Service

1. Service Description
Rackvio is a data center infrastructure management (DCIM) platform developed and operated by CalRen Solutions LLC. These Terms of Service govern your use of:
- The marketing website (rackvio.com), which provides product information, pricing details, documentation references, and company information.
- The SaaS platform (when available), which provides cloud-hosted DCIM capabilities including asset management, power monitoring, IP address management, floor plan visualization, and capacity planning.
- The self-hosted binary, which is distributed under a separate proprietary license agreement (see Section 4).
By accessing or using any Rackvio service, you agree to be bound by these Terms. If you do not agree, you must not use the services.
2. Acceptable Use
You agree to use Rackvio services only for lawful purposes and in accordance with these Terms. You specifically agree not to:
- Scrape, crawl, or use automated tools to extract content or data from the website or platform beyond what is provided through published APIs.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any Rackvio software.
- Attempt to gain unauthorized access to any Rackvio system, account, or data belonging to other users.
- Use the services to transmit malicious code, conduct denial of service attacks, or engage in any activity that disrupts or degrades service for other users.
- Resell, sublicense, or redistribute access to the platform without prior written authorization from CalRen Solutions LLC.
Violation of these terms may result in immediate termination of your access without notice or refund.
3. Intellectual Property
All content, software, documentation, designs, trademarks, and proprietary technology comprising Rackvio are the exclusive property of CalRen Solutions LLC or its licensors.
Rackvio is a closed-source commercial product. The source code is not published, shared, or made available under any open-source license. The platform incorporates patent-pending technology protected under United States and international patent law, including novel methods for power gap analytics, procedural rendering, and capacity reservation modeling.
Nothing in these Terms grants you any right, title, or interest in Rackvio intellectual property beyond the limited right to use the services as described herein.
4. Self-Hosted Binary License
The Rackvio self-hosted free tier is distributed as a compiled binary under a proprietary license. By downloading or using the self-hosted binary, you agree to the following:
- You are granted a limited, non-exclusive, non-transferable, revocable license to use the binary for your internal business purposes.
- The source code is not provided. You may not reverse engineer, decompile, or disassemble the binary.
- Redistribution of the binary, whether modified or unmodified, is prohibited without prior written consent from CalRen Solutions LLC.
- The binary is provided under the usage limits of the Self-Hosted Free tier (1 user, 5 racks, 100 assets). Exceeding these limits requires a paid subscription.
CalRen Solutions LLC reserves the right to modify the terms of the self-hosted binary license with reasonable notice.
5. Limitation of Liability
The Rackvio services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by applicable law, CalRen Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the services.
In no event shall the total liability of CalRen Solutions LLC exceed the aggregate amount of fees paid by you to CalRen Solutions LLC in the twelve (12) months preceding the event giving rise to the claim. For users of the free self-hosted tier, total liability shall not exceed one hundred US dollars ($100).
6. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of laws provisions.
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the Commonwealth of Pennsylvania. You consent to personal jurisdiction and venue in such courts and waive any objection based on inconvenient forum.
7. Service Provider
The services described in these Terms are provided by CalRen Solutions LLC, a limited liability company organized under the laws of the Commonwealth of Pennsylvania, United States.
8. Changes to Terms
CalRen Solutions LLC reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where practical, provide notice through the services or via email.
Your continued use of Rackvio services after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the services.
